WThis agreement ("Agreement") is entered into as of [Contract Start Date], between [Client Name] ("Client") and [Your Company Name] ("Designer"). **Services:** Designer agrees to provide graphic design services as outlined in the design order **Turnaround Time:** Designer will provide an estimated turnaround time for each phase of the project. Client agrees to provide timely feedback and materials necessary for project completion. Delays caused by Client's failure to provide feedback or required materials may impact project deadlines. **Communication:** Client and Designer agree to communicate primarily via HoneyBook. Timely responses to communications are essential for the smooth progression of the project. **Revisions:** Client is entitled to 2 rounds of revisions during the design process. Additional revisions beyond this limit may incur additional fees, to be agreed upon by both parties.f the Client wishes to alter the Works beyond the initial description of the Works listed and beyond the included edits, Designer will still be owed all fees invoiced before any additional edits are made. Designer shall then invoice for additional edits, which will be determined at the time the edits are discussed. **Disputes:** In the event of a dispute arising from this Agreement, Client and Designer agree to attempt to resolve the matter through good-faith negotiation. If resolution cannot be reached, either party may seek legal remedies as outlined in the jurisdiction of Miami Florida . Any customers that create a dispute will be banned from booking services again. **Intellectual Property:** Upon full payment, Designer grants Client exclusive rights to use the final deliverables for their intended purpose. Designer retains the right to display the completed project in their portfolio and marketing materials unless otherwise agreed upon in writing. **Payment Terms:** Client will be billed through our website system once order has been placed. Client agrees to pay Designer the agreed-upon fee as outlined in the project proposal. **Termination:** The Parties may NOT terminate this Agreement. This Agreement may be immediately terminated in the event that there is a breach of the terms by client, if the client information is not sent within a certain timeframe. This agreement will also immediately terminate upon the death of the Designer or Client, the inability of the Designer to perform the services because of a sudden and medically documented physical or mental disability, the liquidation, dissolution or discontinuance of the business of the Client or Designer in any manner, or the filing of any petition by or against the Client or Designer under federal or state bankruptcy or insolvency laws **Confidentiality:** Both Client and Designer agree to keep confidential any proprietary or sensitive information shared during the course of the project. **Governing Law:** This Agreement shall be governed by and construed in accordance with the laws of [Your Location]. **Entire Agreement:** This Agreement constitutes the entire understanding between Client and Designer and supersedes all prior agreements, oral or written, regarding the subject matter herein.
